Getting to FID
Energy and infrastructure developers and owners
Problem Development, land, procurement, offtake, connection and scheme requirements (CIS, LTES, FERM, SOCI, FIRB) need to line up commercially and legally before a project can reach FID/NTP. Weak agreements can stall the whole timeline. This is especially the case on split scope contracting, which requires a very experienced team that can act autonomously.
Solution End-to-end project agreement drafting and negotiation – development, land, procurement, delivery, offtake, connection and revenue arrangements –to help get projects through FID and into construction without legal rework.
Experience
- All project agreements on 16 BESS projects across Victoria, NSW, Queensland and South Australia, plus connection, revenue, CIS and FERM schemes.
- Consultant projects advisor to two multinational BESS developers on development, land, procurement, delivery, offtake, FID / FC, SOCI, FIRB, cyber and OT requirements.
- Development, exclusivity, options and landowner leases for a 60MW wind farm, plus investment partner tender process.
- Supported delivery of 10GW+ of renewable, wind, BESS and hybrid hub projects across Asia Pacific.
Tenders and risk allocation
Contractors
Problem Contractors bidding on D&C, EPC, O&M and consultancy work need contracts that price risk correctly, not boilerplate that leaves them exposed on variations, defects or termination.
Solution Tender-stage contract negotiation and commercially focused departures / special conditions, so contractors bid with terms they can actually deliver.
Experience
- Negotiated consultancy / D&C / O&M / head contract pass-through agreements for contractors across BESS, solar, wind, substation and data centre projects — 400MW in Victoria, 1GW+ in Queensland, plus NSW and South Australia.
- Advised engineering contractors on tenders and contract administration for government, utility and tunnel consultancy agreements.
- Advised an OEM on tenders for control systems and tolling infrastructure across NSW, Victoria, Singapore, ACT, Queensland, NZ, Philippines and Thailand.
Getting finance
Working with lenders on project visibility and delivery risk
Problem Financiers need comfort on project agreements, EPC / SI / TSA / O&M / LTSA / commissioning terms and live disputes for real risk exposure, not just boilerplate review and due diligence reports.
Solution Bankable project agreements, EPC/O&M terms, execution disputes and contract administration, giving lenders and investors a clear risk picture.
Experience Advised borrowers and financiers on project agreements, EPC, O&M, execution disputes and contract administration in individual project finance, and portfolio financings for BESS projects around Australia, wind farms in Queensland, NSW, South Australia and Victoria, and solar farms in Queensland.
Protecting project value
Owners, operators and contractors in live disputes
Problem Delay, defects, variations, termination, insolvency and security-of-payment issues threaten to erode margin or blow out completion — and generic litigation advice often arrives too late to change the commercial outcome.
Solution Embedded dispute strategy — working directly alongside project and executive teams (not just from behind a desk) through adjudication, expert determination, arbitration and litigation, to close out claims and reach settlement on workable terms.
Experience
- $100m+ delay and breach of contract claim against a technology JV partner on an infrastructure project.
- Embedded full-time in a client’s project team to deliver two robotic fulfilment centres for an Australian supermarket; resolved certification, fitness-for-purpose, delay, dangerous goods, fire safety, WHS and insurance disputes, achieving settlement at completion.
- Secured NSW Supreme Court resolution (and Court of Appeal outcome) for a utility owner on a services contract dispute.
- Advised the owner throughout contentious construction, operations establishment and ongoing contract management on a design-build-operate-maintain infrastructure project.
- Seconded to site in rural Mozambique to close out construction delay and defect claims directly with the Capital Project Manager and Superintendent and contractors for a mine processing facility.
- A disputes between a PPP D&C contractor and the State, and a pipeline arbitration for an infrastructure owner.
- Payment claims / schedules and security of payment adjudications, including calling on security and coordinating with financiers.
Additional team capacity
In-house teams and law firms
Problem Legal teams hit workload spikes, leave gaps, or need a specialist who can sit inside the project rather than advise from the outside.
Solution Embedded project counsel and in-house overflow. Full-time on-site / in-team presence for the life of a project, or as a specialist consultant extending a law firm’s own team.
Experience
- Full-time embedded project delivery lawyer on a two-site robotics rollout, working directly with the UK-based Group Commercial Director and Group General Counsel.
- Transaction team legal lead through to Notice to Proceed and into contract management/operations for 20+ wind farm projects across Korea, India, Indonesia, Japan, Philippines and Vietnam.
- Full-time consultant senior legal counsel for an OEM negotiating equipment supply, installation, construction, and operations, and project counsel for developer owners on the development, construction, operations for multiple BESS projects in Australia.
- Fractional legal counsel for a national residential construction company, a multinational road tolling OEM, and a renewables developer.
- Consultant special counsel for top tier and international law firms to provide construction and renewables specialist support.
